Welcome to Single Source Capital. These Terms of Service ("Terms") govern your access to and use of the website located at singlesourcecapital.com (the "Site") and any related services offered by Single Source Capital, LLC ("Single Source Capital," "we," "us," or "our"). By accessing the Site or submitting a pre-qualification request, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

1. About our service

Single Source Capital is a commercial funding broker. We help small business owners explore financing options by referring pre-qualification requests to third-party lenders and funding providers ("funding partners"). Single Source Capital is not a lender and does not make credit decisions. Approval, rates, amounts, and terms are determined solely by the funding partners that evaluate your request.

2. Service area

Our services are currently available only to businesses operating in the United States, and only in the states where we actively do business. At this time, we do not do business with, or solicit, applicants in California, Missouri, New York, Utah, or Virginia. Nothing on the Site is intended as an offer or solicitation to residents of those states. We may expand or change the states we serve at any time without notice.

3. Eligibility

By using the Site or submitting a pre-qualification request, you represent and warrant that:

• You are at least 18 years old;
• You are the business owner or an authorized representative of the business on whose behalf you are submitting information;
• You have the authority to provide the information you submit and to enter into these Terms on your own behalf and, where applicable, on behalf of the business; and
• Your use of the Site will comply with all applicable laws and these Terms.

4. Your responsibilities

You agree to provide information that is accurate, current, and complete. You agree not to:

• Submit false, misleading, or fraudulent information;
• Submit another person's or business's information without authorization;
• Use the Site for any unlawful purpose or in a way that could damage, disable, or impair the Site;
• Attempt to gain unauthorized access to any portion of the Site, our systems, or our service providers' systems; or
• Use automated means (including scrapers, bots, or crawlers) to access or extract data from the Site without our prior written consent.

5. No guarantee of funding

Submitting a pre-qualification request does not constitute a loan application, a commitment to lend, or a guarantee of any kind. All credit decisions, including whether to extend financing and on what terms, are made solely by our funding partners and are subject to underwriting, verification, and applicable law. We make no representation or warranty that you will qualify for funding, that funding will be offered at any particular rate, amount, or term, or that funding will be offered within any particular timeframe.

6. Communications consent

By submitting a pre-qualification request, you agree that Single Source Capital and, where applicable, our funding partners may contact you at the phone number, email address, and other contact information you provide, for purposes related to your request. This may include phone calls, voicemail, text messages, and emails. You can opt out of non-essential marketing communications at any time by replying "STOP" to a text message, clicking the unsubscribe link in an email, or contacting us directly. Message and data rates may apply.

7. Intellectual property

The Site and its content — including text, graphics, logos, images, and software — are owned by or licensed to Single Source Capital and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal and internal business purposes in accordance with these Terms. You may not copy, reproduce, modify, distribute, or create derivative works from any portion of the Site without our prior written consent.

8. Third-party websites and services

The Site may contain links to, or information about, websites and services operated by third parties, including funding partners. We are not responsible for the content, products, services, or practices of any third party, and your interactions with those third parties are governed by their own terms and policies.

9. Disclaimer of warranties

THE SITE AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. INFORMATION ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR OTHER PROFESSIONAL ADVICE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SINGLE SOURCE CAPITAL, ITS AFFILIATES, OR ITS SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY REFERRAL TO A FUNDING PARTNER, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Single Source Capital and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) information you submit; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

12. Governing law and venue

These Terms and any dispute arising out of or related to them or your use of the Site will be governed by the laws of the State of Florida, without regard to its conflict of laws principles. Subject to any applicable dispute resolution procedures, the state and federal courts located in Pinellas County, Florida will have exclusive jurisdiction and venue over any such dispute, and you consent to personal jurisdiction in those courts.

13. Dispute resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us using the details below. We will make a good-faith effort to resolve the issue. If we cannot resolve the dispute within 30 days of your notice, either party may proceed in court as set forth in Section 12.

14. Changes to these Terms

We may modify these Terms from time to time. When we do, we will update the "Last updated" date above. Changes are effective when posted. Your continued use of the Site after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, please stop using the Site.

15. Severability and entire agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any Disclosures, constitute the entire agreement between you and Single Source Capital regarding the Site.
